Terms of Use

These Terms of Use ("Terms") govern your access to and use of edgemetricsai.com and the EdgeMetrics AI trading analytics platform (the "Service"), operated by EdgeMetrics AI ("EdgeMetrics", "we", "us", "our") from Quebec, Canada.

2. Eligibility

To use the Service you must:

• Be at least 18 years old.
• Have the legal capacity to enter into a binding contract in your jurisdiction.
• Not be barred from using the Service under applicable law.
• Provide accurate, current, and complete registration information.

If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

3. Your account

You are responsible for:

• Keeping your login credentials confidential.
• All activity that occurs under your account.
• Notifying us immediately at support@edgemetricsai.com of any unauthorized access.

We reserve the right to refuse, suspend, or terminate any account that violates these Terms, that we believe poses a security or fraud risk, or where required by law.

4. Subscriptions and billing

4.1 Membership tiers

The Service is offered through subscription tiers. Pricing, features, and AI usage quotas for each tier are listed at edgemetricsai.com/pricing and may change with notice.

4.2 Free trial

New subscriptions may include a 14-day free trial. A valid payment method is required to start a trial. If you do not cancel before the trial ends, your subscription begins automatically and your payment method is charged the regular price for your chosen tier. You may cancel at any time during the trial from your account dashboard at no charge.

Trial length is set at the time you subscribe. If we change the trial we offer, the change applies to new subscriptions only — a trial already in progress runs for the period you were given when you signed up.

4.3 Auto-renewal

Subscriptions renew automatically at the end of each billing cycle (monthly or annual) until cancelled. By subscribing, you authorize us and our payment processor (Stripe) to charge your payment method for each renewal.

4.4 Cancellation

You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of your current billing cycle. You retain access to paid features until that date.

4.5 Refunds

Subscription fees are non-refundable except where required by law. We may, at our sole discretion, offer pro-rated refunds for technical issues that prevent material use of the Service.

4.6 Price changes

We may change subscription prices. We will give you at least 30 days' notice by email before any price increase takes effect on your account. If you do not agree to the new price, you may cancel before the change takes effect.

4.7 Taxes

Listed prices may not include applicable sales tax, GST/HST, QST, or VAT. You are responsible for all applicable taxes.

5. AI Boost Packs

In addition to monthly AI usage included in your subscription tier, you may purchase AI Boost Packs ("Boosts") that add additional AI requests to your account.

• Consumable credits: Boosts are one-time consumable credits that add to your monthly allotment.
• No expiration unless stated: Unless stated at purchase, Boost credits do not expire as long as your account is active.
• Non-transferable: Boost credits are tied to your account and cannot be transferred, gifted, sold, or refunded.
• Non-refundable: All Boost purchases are final and non-refundable once the credits are added to your account.
• Forfeit on termination: Unused Boost credits are forfeited if your account is closed, suspended for cause, or terminated for breach.
• No cash value: Boost credits have no cash value and cannot be redeemed for cash.

By purchasing a Boost, you authorize us and Stripe to charge your payment method for the listed amount. A receipt will be emailed to you.

5.1 Auto-refill

If you enable auto-refill when purchasing a Boost, you authorize us and Stripe to automatically charge your saved payment method for a new pack of the same size whenever your Boost balance runs out, at most once per day, until you turn auto-refill off. You can disable auto-refill at any time in your account's AI settings, and we email you a confirmation after each automatic purchase. Auto-refill purchases are subject to the same non-refundable terms as manual Boost purchases.

6. Acceptable use

You agree NOT to:

• Use the Service for any unlawful purpose or in violation of these Terms.
• Upload data you do not have the right to use (including data belonging to other traders, your employer, or a prop firm without authorization).
• Attempt to gain unauthorized access to the Service, other users' accounts, or our systems.
• Reverse engineer, decompile, or attempt to extract source code, except where permitted by law.
• Scrape, crawl, or systematically extract data from the Service.
• Use the Service to develop a competing product or to train a machine learning model.
• Interfere with, overload, or disrupt the Service or related infrastructure.
• Misuse AI features (e.g., submit prompts designed to extract system instructions, generate harmful content, or abuse usage limits).
• Resell, sublicense, or redistribute the Service without our written permission.
• Upload malware, viruses, or any code designed to cause harm.

We reserve the right to investigate and take action against any conduct that violates these rules, including suspension or termination of your account.

7. Your content

7.1 Ownership

You retain ownership of all data you upload to the Service, including trade history, journal notes, screenshots, and tags ("Your Content").

7.2 License to us

To operate the Service, you grant EdgeMetrics a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, parse, analyze, and process Your Content solely for the purpose of providing the Service to you. This license ends when you delete Your Content or close your account, except for backups retained per our Privacy Policy.

7.3 AI processing

When you request AI feedback, the relevant parts of Your Content are transmitted to our AI model provider (see our Privacy Policy for the current list of processors). We do not use Your Content to train AI models. Our providers' terms prohibit them from training on customer API data.

7.4 You are responsible

You represent and warrant that Your Content does not violate any law, third-party rights, broker terms of service, or prop firm agreement.

8. AI feedback specifically

AI-generated feedback is produced by large language models and may:

• Contain errors, inaccuracies, or hallucinations.
• Reflect biases in training data.
• Vary in quality between sessions.
• Misinterpret your trading style, market conditions, or your intent.

You may opt out of AI features in your account settings at any time.

9. Intellectual property

The Service — including the EdgeMetrics AI name, logo, software, design, content, and documentation — is owned by EdgeMetrics or its licensors and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business trading analysis, subject to these Terms.

No other rights are granted, express or implied.

10. Third-party services

The Service integrates with third-party platforms and providers, including:

• Stripe — payments
• AI model providers — AI feedback generation (see our Privacy Policy for the current list)
• Market data provider — historical price data
• Kinsta — hosting

These third parties have their own terms and privacy policies. We are not responsible for their availability, accuracy, or conduct.

11. Service availability

We aim for high availability but do not guarantee uninterrupted access. The Service is provided on an "as is" and "as available" basis. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will use reasonable efforts to give advance notice of material changes that affect paid subscribers.

Scheduled maintenance, hosting outages, third-party API outages (payment, AI, and market data providers), and force majeure events may affect availability.

12. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL CONTENT, OUTPUTS, AND MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

WE MAKE NO WARRANTY THAT AI FEEDBACK, METRICS, OR ANY OTHER OUTPUT WILL BE ACCURATE, COMPLETE, OR PROFITABLE.

13. Limitation of liability

EdgeMetrics, its officers, employees, contractors, and affiliates shall not be liable for any:

• Indirect, incidental, special, consequential, exemplary, or punitive damages;
• Loss of profits, revenue, data, goodwill, or business opportunities;
• Damages resulting from reliance on any AI output or analytics;
• Damages resulting from third-party services (including payment, AI, market data, and hosting providers, or your broker);

even if we have been advised of the possibility of such damages.

Where liability cannot be excluded by law, our total aggregate liability to you for any claim arising from or related to the Service is limited to the greater of (a) one hundred Canadian dollars (CAD $100), or (b) the amount you paid to EdgeMetrics in the 12 months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless EdgeMetrics and its officers, employees, and affiliates from any claims, damages, liabilities, losses, costs, or expenses (including reasonable legal fees) arising from:

• Your use of the Service;
• Your Content;
• Your violation of these Terms;
• Your violation of any law or third-party right (including your broker's or prop firm's agreement);
• Your trading decisions or outcomes.

15. Termination

You may terminate your account at any time by cancelling from your account dashboard or emailing support@edgemetricsai.com.

We may suspend or terminate your account immediately, with or without notice, if:

• You breach these Terms;
• You fail to pay applicable fees;
• We are required to do so by law;
• We discontinue the Service.

Upon termination:

• Your access ends immediately.
• Your data is retained or deleted per our Privacy Policy.
• Unused Boost credits and pre-paid subscription time are forfeited (except where refund is required by law).
• Sections that by their nature should survive (including 1, 7, 9, 12, 13, 14, 17, and 18) will survive termination.

16. Modifications to the Terms

We may update these Terms from time to time. For material changes, we will notify you by email and post a notice in the Service at least 30 days before the new Terms take effect. Continued use of the Service after the effective date constitutes acceptance.

If you do not agree with the new Terms, you must stop using the Service and may cancel your subscription before the changes take effect.

17. Governing law and dispute resolution

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable in Quebec, without regard to conflict-of-law principles.

Any dispute arising from or related to these Terms or the Service shall be brought exclusively in the courts of the District of Montreal, Quebec, Canada, and you consent to the personal jurisdiction of those courts.

Where the Consumer Protection Act (Quebec) or other mandatory consumer law applies, your rights under that law are not affected by these Terms.

18. General provisions

• Entire agreement. These Terms, together with our Privacy Policy and any pricing or feature-specific terms presented at signup, form the entire agreement between you and EdgeMetrics regarding the Service.
• Severability. If any provision is found unenforceable, the remaining provisions remain in full force.
• No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
• Assignment. You may not assign or transfer these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or operation of law.
• Language. Les parties ont expressément exigé que la présente convention et tous les documents qui s'y rattachent soient rédigés en anglais. The parties have expressly required that this agreement and all related documents be drafted in English.
• No partnership. Nothing in these Terms creates a partnership, agency, joint venture, or employment relationship between you and EdgeMetrics.
• Notices. We will send notices to the email address on file. You should send notices to support@edgemetricsai.com.
